The Case Company intends to enter the Philippine market as a real property developer. Unlike in its main operating market in Nordic countries where Civil Law is the basis of all jurisprudence, the corporate jurisdiction in the Philippines is based on Common Law with some country-specific dimensions that must be considered in addition to the differences between these two different judicial systems.
This Thesis attempted to identify a proposal for a high-level road map and to map the requirements of the JV parties for contract negotiations on behalf of the Case Company for developing steps to set up this operation and Joint Venture (JV) in the Philippines for real property development. This research confirmed that the JV may be either contractual or based on a dedicated legal entity,
The Joint Venture Parties’ requirements were extracted from various meetings and multi-channel communication between the Case Company and JVPC over two years. The Participant Observation method and semi-structured interviews of relevant Case Company officers were used to organise this fragmented data. The three-phased high-level road map was developed by using the Case Company’s proprietary project management framework. Thus both goals were met.
The Case Company already chose to follow these recommendations, but the secondary goal recommendation still requires a final competent legal opinion for proper decision-making.
